Job Overview
Pakistan Digital Authority, a Government of Pakistan organization, has advertised the position of Company Secretary on a contract basis at Grade-11. The role exists to support the effective governance and statutory functioning of the Authority, and it reports into the governance structure that serves the Chairperson, Members and senior management.
The work centres on the Authority's secretariat: arranging meetings of the Authority and other designated governance forums, preparing agendas, working papers, minutes, resolutions and records of decisions, and keeping a decision register that tracks follow-up and implementation of approved decisions and directives. The Company Secretary also ensures compliance with applicable statutory, regulatory and governance requirements and advises management on procedural and governance obligations.
A second strand of the role is advisory and institutional. The post holder advises the Chairperson, Members and senior management on governance procedures, decision-making processes, delegated authorities and institutional governance matters, maintains official records and statutory documentation, supports the development and review of governance policies, charters, delegations of authority and terms of reference, and liaises with Legal, senior management, government entities and regulators while preparing periodic governance and compliance reports.

Eligibility & Qualifications
- Minimum Bachelor's degree in Law, Corporate/Business Law, Business Administration, Public Administration, Finance, Commerce, or a related discipline from an HEC-recognized institution.
- A Master's degree or a relevant professional qualification in Law, Corporate Governance, Chartered Accountancy, Cost & Management Accountancy, or Company Secretarial Practice is preferred.
- Minimum 10 years of professional experience in corporate governance, company secretarial practice, legal or regulatory affairs, board secretariat, or institutional governance.
- Demonstrated experience in managing senior-level governance meetings, agendas, minutes, resolutions, statutory records, and decision tracking.
- Experience in a public sector organization, statutory or autonomous body, regulatory authority, listed company, or large corporate organization is preferred.

Responsibilities
- Coordinate meetings with relevant stakeholders, ensure timely circulation of meeting materials, maintain decision registers, and monitor follow-up and implementation of approved decisions and directives.
- Maintain official records, minutes, resolutions, approvals, governance instruments, and other statutory documentation in an accurate, secure, and accessible manner.
- Liaise with Legal, senior management, government entities, regulators, and other relevant stakeholders on governance and statutory matters and prepare periodic governance and compliance reports.
