The Privatisation Commission of Pakistan is the federal body responsible for the divestment of state-owned enterprises.
This consultant position provides legal oversight across the entire privatization lifecycle, from structuring transactions to managing litigation.
The role sits at the centre of high-stakes commercial deals, requiring close coordination with internal teams, external counsel, and government forums.
The consultant will review and approve legal structures, documentation, and contractual frameworks for all privatization transactions.
This includes conducting legal due diligence, identifying risks, and ensuring compliance with applicable laws and sectoral authorities.
The role also involves managing litigation involving the Commission, drafting and negotiating key transaction documents such as share purchase agreements, concession agreements, and PPP contracts, and vetting submissions for the board and the Cabinet Committee on Privatization (CCoP).
Beyond transaction work, the position provides legal input on policy and regulatory matters affecting privatization, advises senior management on governance issues, and supervises external legal advisors.
The consultant is also expected to mentor and build the capacity of the internal legal team.
This is a senior, contract-based role benchmarked at MP-I grade, offering a chance to work on Pakistan's most significant privatization mandates.
Eligibility and Qualification
Candidates must meet the following eligibility criteria
- Law graduate from an HEC-recognized university.
- Preference for specialization in contract and corporate law.
- LL.M. and bar-at-law preferred.
- Minimum 12 years post-qualification experience in corporate law, public sector, or legal matters concerning commercial agreements, divestments, mergers & acquisitions, privatization, and corporate/commercial litigation.
- Valid license to practice in the Supreme Court of Pakistan or a High Court of Pakistan.
- Maximum age 62 years.
Responsibilities
- Provide legal oversight of all privatization transactions, including review and approval of legal structures, documentation, and contractual frameworks.
- Ensure comprehensive legal due diligence, proactively identify legal risks, and ensure compliance with applicable laws, regulations, and sectoral authorities.
- Manage and oversee litigation involving the Commission, coordinating with internal and external counsel to ensure effective case management and favorable outcomes.
- Draft, review, and negotiate key transaction documents, including SPAs, concession agreements, and PPP contracts, and vet submissions for the board, CCoP, and other forums.
- Supervise external legal advisors and coordinate with the litigation function on legal exposure, case backlog, and risk mitigation.
- Provide legal input on policy, legislative, and regulatory matters affecting privatization, and advise senior management on legal and governance issues.
- Lead and build capacity of the internal legal team through mentoring and professional development.
- Perform any other duties as assigned by the competent authority from time to time.
