Job Overview

The Privatisation Commission, operating under the Government of Pakistan, is recruiting for the position of Consultant Transactions in 2026. The Consultant will be responsible for managing approved privatization transactions from start to finish, ensuring timely, compliant, and transparent execution.

This role is central to the Commission's mandate of divesting state-owned entities, and the successful candidate will work closely with senior officials and external advisors.

The Consultant Transactions will handle a range of tasks including data collection and analysis on assigned entities, conducting preliminary due diligence, and preparing analytical reports.

They will develop transaction execution strategies, evaluate and recommend optimal transaction structures, and formulate implementation plans with clear milestones.

The role also involves preparing key transaction documents such as Information Memorandums, bidding documents, and share purchase agreements, as well as presenting briefs to the Privatisation Commission and the Cabinet Committee on Privatisation (CCoP).

This position is ideal for professionals with a strong background in finance, economics, or business, particularly those with experience in the power sector, transaction advisory, or mergers and acquisitions.

Eligibility and Qualification

Candidates must meet the educational and professional certification requirements, along with substantial relevant experience, to be considered for this senior consultant role.

  • Master's degree in Business Administration, Economics, Finance, or a related field from an HEC-recognized university, OR professional certifications such as CPA, FCMA, FCA, FCCA, CIMA, or CFA.
  • Minimum 10 years of experience in one or more of the following areas: power sector, transaction advisory, NEPRA regulatory affairs, electricity distribution (DISCOs), mergers & acquisitions (M&A), or power sector reform.
  • International qualifications/experience and recent experience in similar-level positions in other organizations are preferred.
  • Maximum age limit is 55 years.

Responsibilities

  • Collect, analyze, and assess data on assigned entities/assets, including ownership, financials, liabilities, legal standing, and operations.
  • Conduct and coordinate preliminary due diligence and prepare analytical reports in line with approved templates and procedures.
  • Develop and present transaction execution strategies, including in-house execution or engagement of Financial Advisors and consultants.
  • Evaluate and recommend optimal transaction structures, and review transaction structures proposed by appointed advisors.
  • Formulate and implement transaction plans with defined stages, activities, milestones, and timelines.
  • Prepare and coordinate key transaction documents such as Information Memorandums, bidding documents, SPAs, JVAs, and related agreements.
  • Prepare briefs, reports, and presentations for the Privatisation Commission, CCoP, and other relevant forums.
  • Review Financial Advisor deliverables, track milestones, and recommend validation and payments.
  • Coordinate with legal, financial, and technical experts to ensure accuracy and completeness of transaction documentation.
