Job Overview

The Privatisation Commission, a key department of the Government of Pakistan, is recruiting for the position of Consultant Transactions (Grade G-3) on a contract basis in 2026. This role is central to managing end-to-end privatization transactions, from initial data collection and due diligence to the execution of sale and joint venture agreements.

The Commission is seeking two consultants to support its mandate of divesting state-owned entities, with a strong focus on the power sector, including DISCOs and regulatory affairs.

This is a specialized advisory role that requires a blend of financial, legal, and strategic expertise to ensure compliant and timely transaction execution.

The Consultant Transactions will be responsible for developing transaction strategies, evaluating structures proposed by Financial Advisors, and preparing critical documents such as Information Memorandums, bidding documents, and share purchase agreements.

The role involves coordinating with legal, financial, and technical experts, reviewing deliverables, and presenting briefs to high-level forums like the Privatization Commission and the Cabinet Committee on Privatization (CCoP).

This position is ideal for professionals with a strong background in mergers and acquisitions, power sector reform, or transaction advisory, who are looking to contribute to Pakistan's privatization agenda.

Eligibility and Qualification

Candidates must meet the educational and professional certification requirements, along with substantial relevant experience in the power sector or transaction advisory.

International qualifications and recent experience in similar roles are preferred.

  • BS in Business Administration, Economics, Finance or related field from an HEC recognized university, OR professional certifications such as ACMA, ACA, ACCA, CIMA, or CFA.
  • Minimum 6 years of experience in power sector, transaction advisory, NEPRA regulatory affairs, electricity distribution (DISCOs), mergers & acquisitions (M&A), or power sector reform.
  • Maximum age limit is 45 years.

Responsibilities

  • Manage end-to-end privatization transactions following approval by the competent authority, ensuring timely and compliant execution.
  • Collect, analyze, and assess data on assigned entities/assets, including ownership, financials, liabilities, legal status, and operations.
  • Conduct preliminary due diligence and prepare reports in line with approved templates and procedures.
  • Develop and recommend transaction execution strategies, including in-house execution or engagement of Financial Advisors/consultants.
  • Evaluate and propose optimal transaction structures; review and advise on structures proposed by appointed Financial Advisors.
  • Formulate and implement strategic transaction plans with defined stages, activities, and timelines.
  • Prepare and coordinate key transaction documents (Information Memorandums, bidding documents, SPAs, JVAs, and related agreements).
  • Prepare briefs, reports, and presentations for the Privatization Commission, CCoP, and other relevant forums.
  • Review Financial Advisor deliverables, monitor milestones, and recommend validation and payments.
  • Coordinate with legal, financial, and technical experts to ensure accuracy and completeness of transaction documentation.
